Terms of Service
Last updated: October 30, 2026
These Terms are an agreement between Mettrie, Inc., a Delaware corporation (“mettrie”, “we”) and the company that signs an Order Form with us or creates a mettrie company account (“Customer”, “you”). The person accepting these Terms confirms they can bind the Customer.
The Terms include the Order Form, the Data Processing Addendum (“DPA”, available on request at help@mettrie.com) and our Privacy Policy. If they conflict, the order of priority is: Order Form, DPA, these Terms, Privacy Policy.
1. The service
mettrie is an FP&A agent for teams that plan in Google Sheets: a Chrome side panel, a web app, an optional Apps Script menu in your plan, and optional check-ins with budget owners (the “Service”). During the pilot the Service is pre-release. Features may change, and some described in our materials may not be available yet.
2. Accounts and users
- Users sign in with a Google account with a verified email address.
- The Customer's owner controls who joins (by invitation) and each user's role. Owners and admins can remove users.
- You are responsible for your users and for keeping their Google accounts secure. Tell us promptly at help@mettrie.com if you suspect unauthorized access.
- Users must be your employees or contractors acting for you, and at least 18 years old.
- Any user can delete their own mettrie account at any time (web app, Data and security). A company's only owner must first make someone else owner or delete the company.
3. Your data
- You own your data. “Customer Data” means the data you or your users put into or connect to the Service: sheets, files, messages, configuration, and the outputs mettrie produces for you.
- Licence to us. You let us host, copy, process and transmit Customer Data only to provide, secure and support the Service for you, as described in the DPA and the Privacy Policy. This includes sending the data a task needs to our AI provider, Anthropic, as described in the Privacy Policy.
- No training. We do not use Customer Data, or Google user data, to train AI models. mettrie's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
- What you connect. You decide which spreadsheets and files to connect or upload, and who gets comp access. You confirm you have the rights and have given the notices needed for us to process that data, including any employee data.
- Your Google files stay yours. Your plan and files remain in your Google account. We do not delete them when you leave.
- Aggregated data. We may use usage and cost metrics that do not identify you or your users and contain no Customer Data content (for example, counts and token totals) only to provide and improve the Service for you, within Google's Limited Use requirements.
4. Google access
- mettrie's app asks Google for sign-in, Google Sheets, per-file Drive access (only files mettrie creates or you pick), Apps Script projects and Google Slides. It never asks for access to your whole Drive. The Privacy Policy lists each permission and what it is used for.
- Any user can disconnect Google at any time in the web app. mettrie then revokes its access at Google and deletes the stored token. Signing out alone keeps Google access so that scheduled work keeps running.
5. AI outputs and approvals
- mettrie uses AI models. Outputs (analysis, commentary, forecasts, proposed changes, decks, answers) can be wrong or incomplete. Treat every output as a draft.
- You review before you rely. You are responsible for reviewing outputs before using them for decisions, reporting, filings or communications with investors, lenders, auditors or regulators. mettrie does not give accounting, tax, legal or investment advice.
- Changes need approval. mettrie changes your plan only after a person approves. Changes to formulas and structure need approval by a user with the right role; input edits you ask for need a confirm click. This is enforced in our code, not left to the AI. An owner may turn on standing approvals for specific kinds of routine action; these are off by default, and you are responsible for the ones you turn on.
- Check-ins. Check-ins go only to people in your owners directory. Their answers are evidence for a proposal, never a change on their own.
- Undo. Applied changes can be undone by drafting the reverse change for approval. Google's version history also keeps earlier versions of your sheets.
6. Acceptable use
You will not, and will not let anyone:
- break the law, or infringe or misuse anyone's rights or data;
- connect data you have no right to share with us;
- try to access another customer's data, probe or bypass our security or limits, or test vulnerabilities without our written permission (we welcome reports at help@mettrie.com);
- reverse engineer the Service, except where the law allows;
- use the Service to build a competing product;
- use the Service in violation of Anthropic's Usage Policy;
- send spam, or use check-ins to message people outside your company;
- overload the Service or get around per-company spending caps.
We may suspend access to stop a violation or a security risk. We will tell you why, unless the law or security prevents it, and restore access once it is resolved.
7. The menu in your plan
If an owner or admin adds mettrie's menu to your plan, an Apps Script runs in your Google Workspace. A menu item runs under the Google authorization of the person who clicks it, and mettrie does the work as that person's mettrie membership, with their role. mettrie refuses a click from someone who is not a member of your company, or whose identity Google does not share with the script. The optional daily import runs under the Google authorization of the person who turned it on, and mettrie acts as that member.
By default the script is menu-only: it can reach only the plan it is installed in and has no access to your Google Drive. Your company's owner may turn on folder watching, which gives the script read access to the installing owner's Drive. Anyone with edit access to the plan can view or change the script and read its installation key. If you turn on folder watching or the daily import, give plan edit access only to people you would trust with the Google Drive of the owner who installed it. The owner can switch back to menu-only, and an editor can remove the script, at any time.
8. Fees and usage
- Fees, pilot length and billing terms are in the Order Form. Pilots are free unless the Order Form says otherwise. Fees are in US dollars, and invoices are due within 30 days of the invoice date.
- The Service applies per-company caps on AI model spend (by default $500 a month and $100 a day), adjustable by the owner up to a ceiling we set. When a cap is reached, autonomous work pauses and chat continues on a faster model until the period resets or the cap is raised.
- Fees exclude taxes. You pay applicable taxes other than taxes on our income.
- If an invoice is overdue, we may suspend the Service after giving you 15 days' written notice. We will restore access once the overdue amount is paid.
9. Pilot terms
- Support: business hours, Monday to Friday, 09:00–17:00 Pacific, excluding US public holidays. First response within 4 business hours. Contact: help@mettrie.com.
- No service level agreement during the pilot. We will tell you about planned maintenance where we can.
- Feedback: you may give us feedback. We may use it freely, without using your Customer Data.
10. Confidentiality
Each party will keep the other's confidential information secret, use it only for this agreement, and share it only with people who need it and are bound by similar duties. Customer Data is your confidential information. This does not cover information that is public, already known, received lawfully from someone else, or independently developed. A party may disclose information when the law requires it, after giving notice where allowed.
11. Security and privacy
We protect Customer Data as described in the DPA and the Privacy Policy. We process personal data in Customer Data as your processor under the DPA. Our sub-processors are Google Cloud (hosting, in the United States) and Anthropic (AI model processing), and Slack only if you enable Slack check-ins. Zero data retention with Anthropic is being arranged and is not in place yet.
12. Intellectual property
We own the Service, including its software and prompts. You own Customer Data and the outputs produced for you. We grant you the right to use the Service during the term for your internal business.
13. Warranties and disclaimers
- Each party confirms it has authority to enter this agreement.
- We will provide the Service with reasonable skill and care, and will not materially reduce its security during the term.
- Otherwise, the Service is provided “as is” and “as available”, especially during the pilot. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose, non-infringement, and that outputs are accurate or complete or that the Service will be uninterrupted or error-free.
14. Limitation of liability
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible.
- Each party's total liability under this agreement is capped at the fees paid or payable by the Customer in the 12 months before the event giving rise to the claim, or $100 if that is greater.
- These exclusions and the cap do not apply to a breach of confidentiality, a party's indemnity obligations, fraud, gross negligence or wilful misconduct, or the Customer's obligation to pay fees.
15. Indemnities
- By us. We will defend the Customer against any third-party claim that the Service infringes that party's intellectual property rights, and pay the damages and costs finally awarded or agreed in a settlement we approve. This does not cover claims caused by Customer Data, by combining the Service with things we did not provide, or by use in breach of these Terms. If the Service is, or we think it may be, subject to such a claim, we may get the right for you to keep using it, modify it so it no longer infringes, or end the affected part and refund any prepaid fees for the rest of the term.
- By the Customer. The Customer will defend us against any third-party claim arising from Customer Data or from the Customer's use of the Service in breach of these Terms, and pay the damages and costs finally awarded or agreed in a settlement the Customer approves.
- Procedure. The party seeking defence must tell the other promptly about the claim, let it control the defence and settlement (a settlement that admits fault for, or imposes obligations on, the protected party needs its consent), and give reasonable cooperation at the defending party's cost.
16. Term, termination, export and deletion
- The agreement runs for the term and renews as set out in the Order Form. If the Order Form sets no term, or there is no Order Form, it runs month to month until either party ends it.
- During a pilot, either party may end the agreement on 30 days' written notice.
- Either party may end it for a material breach not fixed within 30 days of notice, or if the other becomes insolvent.
- Export before you leave. The owner can download, at any time from the web app (Data and security), an export of the company as one JSON file (members, configuration, connected workbooks, proposals and decisions, the audit trail, the conversations the owner can see, what mettrie learned, saved plan versions, the import log and daily digests), and the audit trail as CSV. Other members' private conversations are not included. Your sheets and files are already in your Google account.
- Deletion. The owner can delete the company in the web app at any time. Deletion permanently removes the company's data from our database, including the audit trail, and revokes stored Google access of members who belong to no other company. If you do not delete it, we will delete the company within 30 days after the agreement ends, using the same deletion and recording the reason. Deleted data stays in database backups until they expire (up to 30 days).
- Retention during the term. Conversation history is deleted after the retention period your owner sets (365 days after last activity by default), and the values quoted in the audit trail are replaced by hashes after that period, as described in the Privacy Policy.
- Sections that by their nature should survive (data ownership, confidentiality, disclaimers, limitation of liability, indemnities, fees owed) survive termination.
17. Changes to these Terms
We may update these Terms. For material changes we will give 30 days' notice by email or in the product. Changes will not apply to a current paid term without your agreement, unless required by law.
18. General
- Governing law and courts: these Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and each party agrees to their jurisdiction.
- Notices: to us by email at help@mettrie.com; to you at the email on your account or Order Form.
- Assignment: neither party may assign this agreement without the other's written consent, except to a successor in a merger, acquisition or sale of substantially all of its assets or business, with notice.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, labour disputes, or failures of utilities, networks or third-party services. This does not excuse payment obligations.
- Entire agreement: these Terms, the Order Form, the DPA and the Privacy Policy are the whole agreement on this subject and replace any earlier agreements or understandings about it. Terms on your purchase orders do not apply.
- Severability: if any part of these Terms is found unenforceable, it will be limited to the minimum extent needed, and the rest stays in effect.
- No waiver: not enforcing a right is not a waiver of it. A waiver must be in writing.
- Independent contractors: the parties are independent contractors. This agreement creates no partnership, joint venture, employment or agency.
- Publicity: we will not use your name or logo, for example as a customer reference, without your prior consent.
